Legal Agreement Between You and Pubdish
Please read these terms carefully before using our music distribution services. By creating an account, you agree to be bound by these terms and conditions.
These Terms of Service constitute a legally binding agreement. By using Pubdish, you accept all terms and conditions outlined below. If you do not agree, please do not use our services.

Your agreement to these terms and conditions
By accessing, browsing, or using Pubdish's website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, Content Policy, and DMCA Policy.
These Terms constitute a legally binding contract between you ("User," "you," or "your") and Pubdish ("we," "us," or "our"). If you do not agree to these Terms, you must not use our services.
What Pubdish provides to users
Pubdish is a selective, invite-only music distribution platform that provides the following services:
Distribution of your music to 150+ digital streaming platforms worldwide including Spotify, Apple Music, Amazon Music, YouTube Music, and others.
Collection and distribution of 100% of your streaming royalties. You retain full ownership of your rights.
Detailed analytics on streams, downloads, listener demographics, and earnings across all platforms.
YouTube Content ID, Facebook Rights Manager, and copyright protection services.
Dedicated support team available Mon-Fri 8-5:30 (Vietnam Time) via email and contact form.
Requirements for creating and maintaining an account
To use Pubdish's services, you must:
You are responsible for maintaining the confidentiality of your password. Use strong, unique passwords and enable two-factor authentication when available.
You are responsible for all activities that occur under your account, whether authorized or unauthorized. Notify us immediately of any security breach.
Each account is for individual or single entity use only. Sharing accounts or creating multiple accounts is prohibited.
To comply with legal requirements (KYC/AML) and process royalty payments, you must complete identity verification by providing:
Note: All identity documents are securely stored and managed by our official CMS partner, Audicient, which collaborates with Pubdish to distribute music for artists and labels. Users must complete eKYC (electronic Know Your Customer) verification through Audicient before uploading or distributing music. See our Privacy Policy for details on data protection.
Ownership, licenses, and responsibilities for your music
You own your music. Pubdish does not claim any ownership rights to the music, recordings, artwork, or other content you upload. You retain all copyrights, master rights, and publishing rights to your work.
We act solely as your distribution agent. You keep 100% of your royalties (minus platform fees collected by streaming services, not by us).
By uploading content to Pubdish, you grant us a non-exclusive, worldwide, royalty-free license to:
Distribute your music to streaming platforms and digital stores worldwide
Store, reproduce, and transmit your content as necessary for service delivery
Use your artist name, likeness, and artwork for promotional purposes related to distribution
Encode, transcode, and format your audio files to meet platform requirements
This license terminates when you remove your content from Pubdish, except for content that has already been distributed to third-party platforms.
You represent and warrant that for all content you submit:

How and when you receive your earnings
No upfront fees. No subscription charges. No hidden costs.
Pubdish operates on a zero-cost model. You don't pay anything to distribute your music. We only succeed when you succeed.
Pubdish offers different revenue sharing models for Artists and Labels to best support your growth:
Platform fees: Streaming platforms (Spotify, Apple Music, etc.) deduct their own fees before paying distributors. These are industry-standard and not controlled by Pubdish. Your percentage is calculated from the net revenue we receive.
Your first payment will be processed 3 months after you begin earning revenue. This initial period allows streaming platforms to report and settle their payments to us.
Example: If you earn your first streams in January, you'll receive your first payment at the end of April.
After your first payment, you'll receive monthly payments at the end of the following month. Revenue earned in one month is paid out at the end of the next month.
Example: Streams earned in May will be paid to you at the end of June.
Pubdish pays all royalties directly to your PayPal account. You must provide a valid PayPal email address in your account settings to receive payments.
Minimum payout: $50 USD
Payments are only processed when your balance reaches at least $50 USD. If your earnings are below this threshold, they will roll over to the next payment period until the minimum is reached.

If your account is terminated for violations, all outstanding royalties will be forfeited and not paid out.
You are responsible for all taxes on your earnings. Pubdish may be required to report your income to tax authorities based on your location. You must:
Activities that will result in immediate termination
The following activities are strictly prohibited and will result in immediate account termination, revenue forfeiture, and permanent ban:
Uploading or distributing content that infringes on others' intellectual property rights. See our DMCA Policy for details.
Any music created using AI composition tools, AI vocals, or AI-assisted production. See our Content Policy for full details.
Using bots, click farms, fake accounts, or any artificial means to inflate streams, saves, or playlist placements.
Uploading the same track multiple times with different names or artwork to manipulate algorithms or playlist placements.
Impersonating other artists, using false credentials, submitting fake documentation, or misrepresenting your identity.
Blurry artwork, promotional links in artwork, hate speech, explicit violence, or content violating platform guidelines.
Creating multiple Pubdish accounts or attempting to circumvent a ban by creating new accounts.
Attempting to hack, reverse engineer, or exploit vulnerabilities in Pubdish's systems or attempting unauthorized access.
Violation of any prohibited activity will result in ONE-STRIKE termination. No warnings. No appeals. No exceptions.
Protection of Pubdish's and users' intellectual property
All content on the Pubdish platform—including but not limited to the website design, logo, branding, software, code, text, graphics, and user interface—is owned by Pubdish and protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, modify, distribute, or create derivative works based on Pubdish's intellectual property without our express written permission.
Pubdish respects your intellectual property rights. We provide:

DMCA Takedown Services: Fast response to copyright infringement claims
Rights Management: Tools to manage and protect your copyrights across platforms
Pubdish complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please review our DMCA Policy and submit a takedown notice through our Copyright Infringement Reporting Form.
What Pubdish guarantees and what you guarantee
By using Pubdish, you represent and warrant that:
You have the legal right and authority to enter into these Terms
You own or control all rights to the content you upload
Your content does not infringe on any third-party rights
All information you provide is accurate and complete
You will comply with all applicable laws and these Terms
PUBDISH PROVIDES ITS SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
To the fullest extent permitted by law, Pubdish disclaims all warranties, express or implied, including but not limited to:
Limits on Pubdish's legal responsibility
IMPORTANT LEGAL NOTICE
Please read this section carefully. It limits Pubdish's liability to you and affects your legal rights.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUBDISH SHALL NOT BE LIABLE FOR:
Loss of profits, revenue, data, goodwill, or other intangible losses resulting from your use or inability to use the service.
Actions or omissions of streaming platforms, payment processors, or other third-party service providers.
Temporary or permanent service outages, platform changes, or technical issues beyond our control.
Copyright claims, takedowns, or disputes arising from content you submit.
Streaming numbers, revenue amounts, or performance expectations not being met.
Pubdish's total liability to you for all claims arising from or related to these Terms or the use of our services shall not exceed:
The greater of: $100 USD or the total royalties paid to you in the 12 months preceding the claim
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and Pubdish's liability will be limited to the fullest extent permitted by applicable law.
Your responsibility to protect Pubdish from claims
You agree to indemnify, defend, and hold harmless Pubdish, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
This means: If someone sues Pubdish because of something you did or content you uploaded, you are responsible for defending us and covering all costs and damages. We will notify you of any such claims and may participate in the defense at our expense.

Consequences of Involuntary Termination:

How disputes between you and Pubdish will be resolved

We commit to working in good faith to resolve disputes within 30 days of receiving your notice.
These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Da Nang, Vietnam. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
If informal resolution fails, you agree that any dispute will be resolved through binding arbitration rather than in court, except for disputes that qualify for small claims court.
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
You and Pubdish agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Either party may bring an individual action in small claims court if the claim qualifies for such court's jurisdiction. This right exists as an alternative to arbitration.
These Terms, together with our Privacy Policy, Content Policy, and DMCA Policy, constitute the entire agreement between you and Pubdish regarding the use of our services and supersede all prior agreements.
Pubdish reserves the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use of the service after changes take effect constitutes acceptance of the new Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely approximates the intent of the original.
You may not assign or transfer these Terms or your account without Pubdish's prior written consent. Pubdish may assign these Terms to any affiliate, subsidiary, or successor in interest without restriction.
Pubdish's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Pubdish.
Pubdish shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or network failures, or failures of third-party service providers.
